1. Agreement and scope

These Terms of Service (“Terms”) are a legal agreement between ChiefAssist Technologies (ABN 85 596 924 679) (“ChiefAssist”, “we”, “us” or “our”) and the person or organisation accessing or using our website, embedded Shopify application, customer workspace, assessment, paid services and related support (together, the “Services”).

By installing, connecting to, accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organisation, “you” includes that organisation and you confirm that you can bind it. If you do not agree, do not use the Services.

2. Eligibility and authority

You must be at least 18 years old, capable of entering a binding agreement and authorised to act for the relevant Shopify merchant or organisation. You must provide accurate information and keep it current. You may not use the Services if applicable law prohibits you from doing so.

3. The Services

ChiefAssist evaluates supported business evidence and presents executive intelligence through capabilities that may include Today, Opportunities, Ask ChiefAssist, Boardroom, Journey, saved priorities and a 7-Day Executive Assessment. Capabilities may differ by plan, platform, business, data availability and release stage.

ChiefAssist is designed as a read-oriented intelligence service. Unless a separate feature and permission expressly say otherwise, ChiefAssist does not make changes to your Shopify store, products, inventory, orders, fulfilment, customers or payments.

4. Shopify access and security

Access begins in Shopify Admin → Apps → ChiefAssist. Shopify authenticates the authorised staff user and identifies the store. There is no separate website sign-in. Available staff seats depend on the approved plan; the verified store owner can recover the executive seat. Removing app or data permissions in Shopify can prevent access.

You are responsible for:

  • maintaining the confidentiality and security of credentials and authentication methods;
  • authorising, managing and removing users who access your workspace;
  • all activity under your account, except to the extent caused by our breach of these Terms; and
  • promptly notifying us at support@chiefassist.ai if you suspect unauthorised access or misuse.

You must not share individual credentials, bypass access controls or allow an unauthorised person to use the Services.

5. Shopify connections and permissions

To use connected capabilities, you must authorise the permissions presented through Shopify. You instruct ChiefAssist to access and process information made available through those permissions for the purpose of providing, protecting and supporting the Services.

You represent that you have the rights and lawful basis required to connect the store and make Customer Data available. You remain responsible for your Shopify store, customer relationships, legal notices, consent obligations and compliance with Shopify’s terms and policies.

You may disconnect ChiefAssist through available settings or Shopify. Disconnection can prevent affected capabilities from working and may lead to deletion in accordance with our Privacy Policy, Shopify’s requirements and applicable law.

6. 7-Day Executive Assessment, plans and billing

Assessment

If offered, the free 7-Day Executive Assessment begins when the onboarding flow confirms that your supported Shopify connection and assessment are active. The assessment is intended to let you experience ChiefAssist with your own business data. We may limit assessment eligibility, frequency or features to prevent misuse.

Paid membership

A paid membership starts only after the applicable plan, price, currency, billing period and commencement timing are displayed to you and you confirm the purchase through Shopify. Unless the checkout states otherwise, subscriptions continue for successive billing periods until cancelled.

Unless expressly stated otherwise, plan prices displayed on the ChiefAssist website are in United States dollars (USD). The applicable payment review, Shopify approval screen will identify the transaction currency and display applicable taxes and the final total before you commit to payment.

Charges, taxes and price changes

You authorise the approved billing provider to charge the accepted fees and applicable taxes. Shopify’s billing controls and terms also apply to purchases processed by Shopify. We may change fees prospectively by giving the notice required by law and the applicable billing platform. A price change does not apply retroactively to a completed billing period.

Plan changes and service notices

A plan change requires a fresh Shopify approval. A pending or declined change does not itself replace your existing access. Once a smaller plan becomes active, staff access is restricted to its seat limit. Where a payment enters the supported past-due state, existing evidence remains read-only for up to 72 hours before full access is blocked.

Assessment, evidence and membership reminders appear within the installed app. Where the optional email service is enabled, a verified Shopify store owner can separately opt in to assessment, membership-status and weekly review emails in Notifications. Email reminders can be stopped in Notifications or through the unsubscribe link in each reminder. Delivery timing is not guaranteed; you remain responsible for monitoring billing and service status. ChiefAssist reminder emails are not invoices or proof of payment. Shopify provides billing approvals, invoices and payment records.

Cancellation and refunds

You may cancel through the controls made available by ChiefAssist or Shopify. Shopify determines the applicable cancellation and billing timing. Access can end when Shopify reports the subscription cancelled or the app is uninstalled; check the Shopify confirmation before proceeding. Refunds and credits are assessed under applicable law, these Terms and the billing platform’s rules. Nothing in this section limits a right or remedy that cannot lawfully be excluded.

7. Licence and permitted use

Subject to these Terms and payment of applicable fees, ChiefAssist grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Services during the applicable assessment or subscription period for your internal business purposes.

You may use and reproduce ChiefAssist outputs internally for genuine business planning, review and decision support. This licence does not transfer ownership of the Services, software, models, design, branding or underlying methodology.

8. Acceptable use

You must not, and must not help another person to:

  • use the Services unlawfully, fraudulently or to infringe another person’s rights;
  • upload malicious code, disrupt the Services, probe for vulnerabilities or bypass security or usage controls;
  • access data, stores, accounts or systems without authority;
  • reverse engineer, decompile, scrape or systematically extract the Services, except to the limited extent a law expressly permits and cannot be excluded;
  • resell, sublicense, white-label or make the Services available to third parties unless we agree in writing;
  • use the Services or outputs to build or train a competing model, product or service;
  • submit special-category, highly sensitive or regulated information that ChiefAssist has not expressly agreed to process; or
  • use generated intelligence as the sole basis for decisions that produce legal or similarly significant effects on an individual.

9. Customer Data

“Customer Data” means information, content and materials that you or your authorised connections provide to the Services, including Shopify data, prompts, priorities, feedback and executive context. As between you and ChiefAssist, you retain your rights in Customer Data.

You grant ChiefAssist and our approved service providers a worldwide, non-exclusive licence to host, copy, transmit, transform and otherwise process Customer Data only as reasonably necessary to provide, secure, support and improve the Services, comply with law and enforce these Terms. This licence ends when the relevant Customer Data is deleted, except for lawful retention, backup cycles and de-identified information.

You are responsible for the lawfulness, accuracy and quality of Customer Data and for obtaining any rights, notices and consents needed to provide it. We may use aggregated or de-identified information that does not reasonably identify you, your business or an individual to analyse and improve service quality and safety.

10. Intelligence and AI limitations

The current service uses deterministic analytical rules and structured evidence, not a free-form generative-AI chat. Generated intelligence may be based on incomplete, delayed or inaccurate Customer Data and may contain errors, omissions or inferences that do not fit your circumstances.

ChiefAssist supports judgment; it does not replace it. You remain responsible for reviewing the evidence, obtaining appropriate professional advice and deciding whether and how to act.

The Services are not legal, tax, accounting, investment, employment, medical or other regulated professional advice. Do not rely on them as a guarantee of revenue, profit, performance or outcome. Unless an authorised feature clearly states otherwise, outputs do not execute actions in Shopify or commit your business to a decision.

11. Availability, updates and beta features

We aim to provide a reliable service, but the Services may occasionally be unavailable because of maintenance, updates, security events, internet or provider failures, or circumstances beyond our reasonable control.

We may improve, add, replace or discontinue capabilities. If a change materially reduces a paid core capability during a current billing period, we will provide reasonable notice where practicable and any remedy required by law. Preview, beta or experimental features may be changed or withdrawn and may be less reliable than generally available features.

12. Our intellectual property and feedback

ChiefAssist and its licensors own the Services and all related software, designs, interfaces, models, methods, documentation, branding and intellectual property, excluding Customer Data. No rights are granted except those expressly stated in these Terms.

If you give feedback or suggestions, you allow us to use them without restriction or payment, provided we do not publicly identify you as the source without permission.

13. Third-party services

The Services depend on or may link to third-party services, including Shopify, authentication providers, cloud infrastructure and billing systems. Your use of those services is governed by their own terms and privacy policies. We are not responsible for a third party’s products, acts or omissions, but this does not limit any responsibility we cannot lawfully exclude.

14. Privacy and confidentiality

Our Privacy Policy explains how we handle personal information. Each party must use reasonable care to protect the other party’s non-public confidential information and may use it only to perform or receive the Services, exercise rights under these Terms, or comply with law. Confidential information does not include information lawfully known without restriction, independently developed, made public without breach or received lawfully from another source.

15. Suspension and termination

You may stop using the Services at any time and may cancel a paid membership as described in section 6.

We may suspend or restrict access where reasonably necessary to address a security risk, suspected fraud, unlawful use, material breach, non-payment or risk to the Services or another user. Where appropriate, we will give notice and an opportunity to remedy. We may terminate for an unremedied material breach, insolvency, legal requirement or discontinuation of the Services.

On termination, your right to use the Services ends. Accrued payment obligations and provisions that by their nature should survive—including ownership, confidentiality, disclaimers, liability, disputes and general terms—continue. Customer Data is handled under our Privacy Policy and applicable Shopify requirements.

16. Consumer law and warranties

Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded, restricted or modified. If you acquire Services as a consumer, you may have rights including remedies for services that are not provided with due care and skill, are not fit for a stated purpose, or are not supplied within a reasonable time.

Subject to those non-excludable rights and to the maximum extent permitted by law, the Services are provided “as available”. We do not promise that the Services will be uninterrupted, error-free or suitable for every business, or that generated intelligence will be complete or achieve a particular result.

17. Liability

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or a non-excludable consumer guarantee.

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, except to the extent such loss is a reasonably foreseeable consequence of a breach and cannot lawfully be excluded.

To the maximum extent permitted by law, ChiefAssist’s aggregate liability arising out of or relating to the Services and these Terms is limited to the fees you paid for the Services during the 12 months before the event giving rise to the claim. Where a non-excludable guarantee applies and the law permits us to limit the remedy, our liability is limited, at our option, to supplying the Services again or paying the cost of having them supplied again.

18. Indemnity

To the extent permitted by law, you indemnify ChiefAssist against third-party claims, losses and reasonable costs arising from your unlawful use of the Services, your material breach of section 5, 8 or 9, or Customer Data that infringes another person’s rights. This indemnity is reduced to the extent our breach, negligence or wilful misconduct contributed to the loss. We will give prompt notice of a covered claim and reasonable cooperation, and you may control its defence subject to our right to participate and approve any settlement that admits fault or imposes obligations on us.

19. Disputes and governing law

Before starting court proceedings, each party agrees to give the other written notice of a dispute and try in good faith to resolve it for at least 30 days. Either party may seek urgent interim relief, and this process does not prevent a consumer from using a regulator, tribunal or other right available under law.

These Terms are governed by the laws of the Australian state or territory in which ChiefAssist Technologies is registered, without regard to conflict-of-laws rules. The parties submit to the courts of that place and any courts that may hear appeals, subject to any mandatory jurisdictional rights you have.

20. Changes and general terms

We may update these Terms to reflect changes to the Services, law or business operations. We will publish the updated Terms with a new “last updated” date and provide reasonable advance notice of material changes where required. If you do not agree to a material change, you may stop using and cancel the affected Services before it takes effect.

You may not assign these Terms without our written consent. We may assign them as part of a reorganisation, financing, sale or transfer of the relevant business, provided this does not reduce non-excludable rights. Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations. If part of these Terms is unenforceable, the remainder continues. A failure to enforce a term is not a waiver. These Terms, the Privacy Policy and any accepted order or plan terms form the entire agreement for the Services and replace earlier discussions about their subject matter.
